Trading Terms and Conditions - updated 01 June 2024.
Anyone ordering from Claude & Co via Orderspace must be a retailer who sells their products to an end consumer. Any distributor or agent agreements must be made clear to Claude & Co and approved before ordering via this platform. Under no circumstances are Claude & Co products to be offered on Pre-Order unless otherwise agreed. We do not offer a drop shipping service.
Minimum Order Value
Seasonal orders will need to meet the following value requirements and have to be placed every season:
GBP - £1000
USD - $1200
EUR - €1200
In-season core orders placed will require a minimum of £600, $800 or €800
Minimum Annual Spend
Please note: In order for Claude & Co’s brands presence to be consistently reflected within stores, stockists are required to spend a minimum of £2000, $2400 or €2400 per annum.
This can be made up of 2+ seasonal orders, or 4+ in-season core orders.
Accounts will be reviewed throughout the year and should the minimum annual spend not be met, Claude & Co reserves the right to retract their business.
Product Minimums
Products are a minimum 2 per size with no exceptions.
Some best-selling products and sizes are set to a higher minimum as you would need to have enough cover in-store to represent Claude & Co effectively.
Pricing
We encourage RRPs to be reflected by our stockists. However, if a stockist feels the needs to amend the retail price of Claude & Co pieces, we require that no permanent markdown prices or offers over regular sign-up discounts be applied to the RRP within 3 months of receiving product.
Payment
A 30% deposit payment will be required for all seasonal pre-orders followed by full outstanding payment prior to dispatch. If your payment is not made within the deadline, your order will be cancelled and your account suspended.
In-season core orders will be paid for in full prior to dispatch.
We accept payment via Bank Transfer and Stripe. All banking fees must be covered by the vendor or your order is at risk of not being sent, or cancelled.
Any additional terms must be agreed with Claude & Co before placing your order.
Digital Advertising and Marketing
Retailers agree to exclude Claude & Co from any form of paid digital marketing, in particular, but not limited to Google Ad Words - Google Shopping.
You must ask permission to use our images on paid advertising.
Retailers must refrain from using Claude & Co in any brand terms for paid marketing or SEO.
We do not accept any retailer bidding on the Claude & Co brand name on Google. We reserve the right to cancel your account with us.
Media, Photography & Brand
As stockists, we allow you the right to repost our images shared. Please credit and tag Claude & Co (@claude_and_co) on social media when sharing images from the brand.
There is a library of product images for stockists within orderspace
Stockists must ensure that our brand name ‘Claude & Co’ appears in this way through copy and on websites and in any social media channels.
Delivery
Orders placed within season and core lines will be checked and confirmed before an invoice sent. We do not hold stock, so if you do not pay within the time frame given we cannot guarantee stock for you.
Pre-orders of seasonal collections will be sent in line with launch dates and stock arrivals. We do our best to ensure you have product in line for launch but cannot guarantee it based on courier and delivery limitations and we will inform close to delivery time frames.
Shipping cost will be calculated individually and added to your invoice. Please inform us if you would like to arrange your own collection and delivery from our warehouse.
When the order is placed we will notify you of an estimated dispatch timescale. We reserve the right to extend projected delivery times or split orders during busy periods or due to circumstances out of our control.
Duties & Taxes
NEW FOR 2025 - Claude & Co will cover duties for our European stockists when spending over 1200 euros for pre-season orders and over 800 euros for repeat and core products. We would like to remind our international stockists that VAT charges are reversible, dependant on retailer's VAT status.
All EU customers must provide a valid EORI number - if this is not provided prior to shipment we may need to hold the order until it is provided. Claude & Co is not responsible for any additional delays or customs issues.
Product
Claims for faulty stock replacements or credits will only be considered if raised within 14 days of receipt.
Seasonal Launches
No retailer will launch online or advertise the collection before the communicated time and date.
Images of new seasons cannot be shared on social media unless permission given.
We have a right to close your account as a retailer if you do not stick to this guideline.
Any pre sales through apps and groups are strictly forbidden by Claude & Co and we will close down any account and cancel pre-orders if suspected.
Confidentiality
Wholesale customers agree to keep confidential all information provided by Claude & Co (Childrenswear) Ltd including but not limited to pricing, photography, product details, and business strategies.
Sale Terms
Goods cannot be resold in other outlets, retail spaces, wholesale or distributors including trouva, amazon or etsty or Vinted.
